Q. I'm an EyeMed panel member. How is EyeMed's acquisition of ECPA good for me?

A. After Luxottica completes this transaction, you will have access to over 11 million potential patients from ECPA contracts in addition to patients from EyeMed's 19 million contracted lives. ECPA's reimbursements are as good as or better than EyeMed's. We expect that the synergies in this transaction will allow us to enhance EyeMed's reimbursements in the future.

Q. I'm a private practitioner on ECPA's panel. How is EyeMed's acquisition of ECPA good for me?

A. If you liked working with ECPA's contracts up to now, we expect that you will like ECPA and EyeMed in the future as we leverage the synergies of the acquisition to enhance EyeMed's model of managed vision care based on quality of care and materials, freedom of choice for patients and providers and joint consideration of patient, payer and provider needs.

Q. As an EyeMed panel member, will I be required to accept current ECPA patients?

A. You will not be required to accept current ECPA patients, but we expect that most EyeMed panel members will find ECPA patients a profitable addition to their practice.

Q. As a private practitioner on ECPA's panel, do I now have access to the same special promotions on Luxottica products and other Luxottica special programs offered to EyeMed panel members?

A. Yes! Q. As a private practitioner on ECPA's panel, do I have to buy frames from Luxottica to continue seeing ECPA patients?

A. It's business as usual, until further notice. ECPA panel private practitioners may continue to see ECPA patients without buying Luxottica frames. But if you are buying product from other frame or sunglass vendors, you may want to buy more from Luxottica once you evaluate the special offers available to EyeMed and ECPA panel members. Q. How will ECPA and EyeMed be operated?

A. Eventually our intention is to combine the best features of ECPA and EyeMed, having the same requirements for panel membership and offering to payers managed vision care plans based on quality of care and materials, freedom of choice for patients and providers and joint consideration of patient, payer and provider needs.

Q. As an ECPA private panel practitioner, when will I be able to see patients from EyeMed contracts?

Q. Is LensCrafters going to be on ECPA's panel?

A. LensCrafters has been an ECPA panel member for several years and is envisioned to be the principal nationwide chain store on the combined panel. More and more payers favor a managed vision care plan featuring an integrated panel of optometrists, ophthalmologists and opticians in private practice and a nationwide chain store retailer. As the nation's foremost chain store retailer, LensCrafters helps differentiate EyeMed from other managed vision care companies leading to more contracts and more patients for all panel members. We will, of course, honor other chain stores' panel membership contracts that are in effect at the time we complete the acquisition.

Q. How will EyeMed and ECPA administration policies be affected?

A. Until further notice, ECPA and EyeMed administration will be separate and operate as they have in the past.

Q. I'm not a ECPA panel member and I always thought that ECPA featured only discount vision care plans. Tell me more about that.

A. Although historically ECPA emphasized discount plans and most ECPA patients today are discount plan patients (which means few if any administration issues for providers), ECPA has started to switch its emphasis toward funded plans with most new patients coming from funded plans.

Q. I'm a private practitioner that's neither on EyeMed's nor ECPA's panel. Is it too late for me to join?

A.
